This Agreement governs your business's ("you," "your shop," the "Merchant") use of the AssistAnt platform to run scheduling, dispatch, customer communication, invoicing, and — where you enable it — card payments. By clicking to accept at signup, you agree to these terms on behalf of your business.
AssistAnt is software that helps you run your service business. AssistAnt is not a party to the jobs you perform, the prices you set, or the payments your customers make to you. You operate your own independent business and remain solely responsible for the services you deliver to your customers.
If you enable card payments, they are processed through Stripe into your own connected Stripe account. Money flows directly to you; AssistAnt does not hold, control, or take custody of your funds. You are the merchant of record for every charge to your customers, which means:
To protect against losses from chargebacks or fraud, you authorize AssistAnt and Stripe to:
You remain responsible for any negative balance on your connected account. To the extent Stripe or AssistAnt advances or absorbs any such amount, you agree to repay it, and you authorize its recovery as described above.
You agree to defend, indemnify, and hold harmless TN Appliance Exchange LLC and its owners, officers, and staff from any claims, losses, chargebacks, refunds, fines, penalties, taxes, fees, or damages (including reasonable attorneys' fees) arising out of: (a) the services you provide to your customers; (b) your transactions, invoices, disputes, chargebacks, refunds, or taxes; (c) your breach of this Agreement or of the Stripe agreements; or (d) your violation of any law or third-party right. This section survives termination.
Your subscription and any add-ons are billed as shown at signup. Stripe's own processing fees (and any fraud-tool fees) apply to card transactions and are your responsibility. You may cancel your subscription as described in your dashboard; cancellation does not waive amounts already owed.
You retain ownership of your business and customer data. You grant AssistAnt the permissions needed to operate the platform for you. We handle data as described in our Privacy Policy. You are responsible for having the right to enter your customers' information and to contact them.
The platform is provided "as is" and "as available." We make no warranty of uninterrupted or error-free operation. AssistAnt is a tool that supports your business; it does not guarantee any business outcome.
To the maximum extent permitted by law, TN Appliance Exchange LLC is not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data. Our total liability for any claim relating to the platform will not exceed the amounts you paid AssistAnt in the [ 3 ] months before the claim. Nothing here limits your obligations under Sections 2, 3, or 5.
This Agreement applies while you use the platform. Either party may terminate as described in your dashboard or by notice. We may suspend or terminate access for non-payment, suspected fraud, risk to the platform or its users, or violation of this Agreement. Sections that by their nature should survive (including 2, 3, 5, 8, 9) survive termination.
This Agreement is governed by the laws of the State of [ Tennessee ], without regard to its conflict-of-laws rules. [ Venue / dispute-resolution terms to be confirmed by counsel. ]
We may update this Agreement as the platform evolves. Material changes will be posted here with a new version number; continued use after an update constitutes acceptance.
